Membership Terms and Conditions

Important Note: Member understands and acknowledges that the bundled longevity services listed above are not covered by most insurance plans, including Medicare, as they include preventive examinations represented by CPT codes 99381-99397 as well as other Medicare non-covered services. Member understands that BLU By ThriveWell will not bill any insurance for preventive services rendered under this agreement, and payment for services is the responsibility of the member. Member also recognizes that the initial comprehensive biomarker assessment is included in the membership, but any medically necessary labs done as routine primary care after the initial assessment may be billed to your insurance provider.

TERM OF AGREEMENT. This agreement is valid for a term of 12 months, beginning on the date of acceptance. Payment for services is required upfront at the time of enrollment.

COMPANY’S ROLE. Member understands and acknowledges that BLU Medical may collaborate at times with BLU By ThriveWell™, which operates a fitness and recovery facility at the same location. BLU Medical may arrange Services via companies or providers that have common ownership with the Company, but each entity operates independently.

TERMINATION OF AGREEMENT.

4.1 Mutual Termination
This agreement may be terminated at any time by mutual agreement between Company and the member.

4.2 Termination by Company
Company reserves the right to terminate this agreement with 30 days’ written notice under the following conditions:

• If the company is unable to continue providing services due to unforeseen circumstances.
• If the member fails to adhere to the terms of this agreement or engages in behavior that is disruptive, abusive, or misaligned with the Company’s values.
  

4.3 Immediate Termination
Company may terminate this agreement immediately if the member:

• Engages in harassment or abusive behavior toward staff or other members.
• Violates applicable laws or ethical guidelines.
• Endangers the safety or well-being of others.‍

4.4 Member-Initiated Termination
If you choose to terminate this agreement before the 12-month term ends, please contact us to discuss your concerns. Any refund requests will be evaluated on a case-by-case basis, in accordance with applicable policies.

DISCLAIMER AND LIMITATION ON LIABILITY. Your Role in Success: Your progress and results depend on your active participation and commitment. While BLU Medical provides expert guidance, tools, and support, you are the key to your success.

Our Disclaimer: BLU Medical makes no guarantees or warranties regarding specific outcomes from the program. Each individual’s results will vary based on their unique circumstances and level of engagement, specifically:

• Company disclaims any implied warranties, including but not limited to those related to merchantability or fitness for a particular purpose.
• Company is not responsible for member choices, actions, or participation that impact results.

LIMITATION OF LIABILITY. Company’s liability is limited to the total amount paid by the member under this Agreement in the 12 months preceding the claim.

MISCELLANEOUS. Section and other headings are for convenience of reference only and shall not be used to construe the meaning of any provision of this Agreement. This Agreement may be executed in any number of counterparts, including by facsimile or other electronic transmission, each of which shall be an original and all of which shall together constitute one Agreement. Should any part of this Agreement be invalid or unenforceable, such invalidity or unenforceability shall not affect the validity and enforceability of the remaining portions. The execution and performance of this Agreement by each Party has been duly authorized by all applicable laws and regulations and all necessary corporate action, and this Agreement constitutes the valid and enforceable obligation of each Party in accordance with its terms. This Agreement and the rights of the Parties shall be construed and enforced in accordance with the laws of the State of Florida without regard to its principles of conflicts of laws. Venue shall be in Broward County, Florida. The Parties agree to the personal jurisdiction of such courts in Broward County, Florida. Except as otherwise set forth in this Agreement, this Agreement may not be modified except in writing executed by the Party to be charged. This Agreement is personal to Member and may not be assigned by Member. Company may assign this Agreement provided that the assignee is bound by the terms of this Agreement. This Agreement constitutes the entire agreement of the Parties hereto and supersedes all prior agreements and representations with respect to the subject matter hereof. The Parties hereto have each negotiated the terms hereof and reviewed this Agreement carefully. It is the intent of the Parties that each word, phrase, and sentence, and other part hereof shall be given its plain meaning, and that rules of interpretation or construction of contracts that would construe any ambiguity of any part hereof against the draftsman, by virtue of being the draftsman, shall not apply. Each Party hereto intends that this Agreement shall not be construed to benefit or create any right or cause of action in or on behalf of any person or entity other than the Parties hereto. The Parties affirmatively state that they do not have the intention and are not forming a joint venture or partnership for tax or any other purposes. Notices given hereunder shall be sent to the Parties at the addresses set forth in their signature line or otherwise updated as provided in this Section. Notices shall be sent via certified mail, return receipt requested, or via USPS or a recognized national courier service with proof of delivery, and shall be effective upon proof of delivery as shown on a delivery or return receipt.

JURY TRIAL WAIVER. To the fullest extent permissible under applicable law, each party hereby knowingly and voluntarily waives any and all rights to a jury trial in any proceeding, claim, counterclaim, or other action involving a dispute or matter arising under this Agreement.
